Terms of Service

1. Agreement

These Terms are an agreement between you and Noble Star Realty, 1005 Gunn Hwy #104, Odessa, FL 33556 (“SayHope,” “we,” “us”), the operator of the SayHope website and application (the “Service”). By using the Service you agree to these Terms. If you use the Service on behalf of a brokerage or other organization, you agree for that organization, and “you” includes it. If a brokerage has a separate written agreement with us, that agreement controls where it conflicts with these Terms.

2. Accounts

• Access is provided by your brokerage or by us. Keep your sign-in secure. You are responsible for activity under your account.
• A brokerage's owners and administrators control its users, roles, settings and data, and may add or remove access at any time.
• Tell us promptly at admin@sayhope.app if you think your account has been compromised.

3. Your content

You keep all rights to the information, documents, photos and posts you or your brokerage put into the Service (“Customer Content”). You give us permission to host, process, transmit and display Customer Content only as needed to provide the Service to you, including sending it to the signers, recipients and platforms you choose. You confirm that you have the rights and consents needed to upload Customer Content and to have us process it, including personal information about your clients and listing photos.

4. Your responsibilities as a real-estate professional

SayHope helps you prepare, organize and sign paperwork. It does not provide legal, tax, financial or brokerage advice, and it does not replace your professional judgment. In particular:

• You are responsible for the accuracy and legal sufficiency of every contract, form, disclosure, advertisement and calculation you use or send, including deadlines figured by the Service, commission figures, net sheets and estimates.
• You are responsible for complying with the laws, license-law rules, MLS rules and brokerage policies that apply to you, including advertising rules such as showing your brokerage's name.
• Public-record, MLS and third-party data may be incomplete or out of date. Verify it before you rely on it.

5. Hope and other automated features

Hope, automatic form fill, document reading and other automated features use AI and rules that can make mistakes. Review their output before you rely on it, sign it, send it or publish it. Hope acts within your permissions, and she confirms important changes before making them. You are responsible for the actions you approve.

6. Electronic signatures

The Service includes electronic signing. You are responsible for deciding whether an electronic signature is appropriate for a given document, and for sending it to the right people. Signers agree to do business electronically when they sign through the Service. We keep an audit trail of each signing session. Electronic signatures are intended to be valid under the U.S. ESIGN Act and the Uniform Electronic Transactions Act as adopted in Florida, but we do not guarantee that any particular document is enforceable.

7. Connected accounts and third-party services

You can connect third-party accounts such as Facebook Pages, Instagram professional accounts, YouTube channels, Google Business Profiles and Google Workspace. When you do:

• You authorize us to act on that account only as described in our Privacy Policy, for example to publish or schedule the posts you compose.
• You must follow those platforms' own terms and policies, including Meta's Terms and Platform Terms, the YouTube Terms of Service, and Google's terms. You are responsible for the content you publish.
• Third-party services are not controlled by us. If a platform changes or limits its API, a feature that depends on it may change or stop working.
• You can disconnect at any time in SayHope or in the platform's own settings. See Data Deletion.

8. Acceptable use

Do not use the Service to:

• break the law, or violate fair-housing, anti-discrimination, privacy, anti-spam or telemarketing laws;
• publish false or misleading advertising, or content you don't have the rights to;
• send messages to people who haven't agreed to receive them;
• access another brokerage's or user's data without permission, or get around security or usage limits;
• reverse-engineer, copy or resell the Service, or use it to build a competing product;
• upload malware, or overload or disrupt the Service.

We may suspend access that violates these rules or puts the Service or other users at risk. When it is practical, we will tell you first.

9. Fees

Fees for the Service, if any, are set out in a separate order or agreement with your brokerage. Some features, such as AI usage or text messaging, may carry usage-based charges that are shown in the Service or in that agreement.

10. Our intellectual property

The Service, including its software, design, form mappings and the SayHope and Hope names and logos, belongs to us and our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your real-estate business while you have access. If you send us feedback, we may use it without obligation to you.

11. Availability and changes

We work to keep the Service available and your data backed up, but the Service may occasionally be unavailable for maintenance or reasons outside our control. We may improve, change or discontinue features. If we discontinue the Service entirely, we will give reasonable notice and a chance to export your data.

12. Termination

You may stop using the Service at any time. Your brokerage or we may end your access as described in these Terms or in the brokerage's agreement. After termination, Customer Content is handled as described in our Privacy Policy and on the Data Deletion page. Sections 3–6, 10 and 13–16 survive termination.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ITS OUTPUT WILL BE ACCURATE, UNINTERRUPTED OR ERROR-FREE.

14. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST COMMISSIONS, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR US $100.

15. Indemnity

You will defend and indemnify us against third-party claims that arise from your Customer Content, from content you publish through the Service, or from your violation of these Terms or the law.

16. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Pasco County or Hillsborough County, Florida, and you and we consent to their jurisdiction.

17. Changes to these Terms

We may update these Terms. If we do, we will post the new version here and update the date at the top. If a change is material, we will also notify users in the Service or by email. Continued use after a change means you accept the updated Terms.
